Assistant General Counsel

The Scoular Company?s legal team is a dynamic group of professions that spans two cities (Minneapolis, MN and Omaha, NE), and handles all legal, compliance, and governance related matters for the company and its expansive operations around the globe. Organized in a specialist model, with teams focusing on domestic commercial transactions, international transactions and operations, tax, and employment, compliance, litigation, and regulatory matters, the team is led by a General Counsel who sits in the company?s Omaha, NE headquarters. The team is adding a new role for a lawyer who will be focused on supporting diverse work from the team, delegated from senior lawyers in the department.
This Assistant General Counsel role will be responsible for serving in a multi-faceted role in the Legal Department, supporting labor and employment, commercial transactions, and corporate governance work from the team?s senior lawyers and the company?s General Counsel.? In addition, this role offers significant opportunity to support other work over time, with a tremendous opportunity to grow and develop an in house practice. This position reports to the company?s Associate Counsel responsible for the Company?s labor and employment, compliance, litigation, and regulatory matters.? The ideal candidate will have expertise in employment law, with additional experience in contract and corporate governance matters a plus.
Job Responsibilities
Provides advice and counsel on labor and employment related matters, which may include, but not be limited to, human resources issues (e.g., hiring, terminations, employee relations, etc.), wage and hour law, labor relations, employee benefits, employment agreements and policy related issues, FMLA and matters, and generally assists Associate General Counsel leading the company?s labor, employment, and compliance matters.
Manage some employment litigation processes and/or small commercial disputes, including charges of discrimination.
Conduct basic training on legal and compliance issues.
Design and execute investigation plans, including, but not limited to, the review and analysis of specific allegations, collection and assessment of documents, and conducting relevant witness interviews.
Research and analyze discrete legal and regulatory issues, and provide advice to internal clients.
Policy and other employee and compliance related document drafting.
Basic commercial contract review, analysis, negotiating and drafting, including non-disclosure agreements.
Generally provide assistance to the Legal Team?s Domestic Commercial Transactions team on entry level contract and transactional matters.
Provide support to General Counsel on domestic corporate governance matters, in partnership with paralegal support, on an as needed basis.
Work collaboratively across a broad range of operations and service partners, developing and maintaining strong working relationships between human resources, operations, and other functions to facilitate a team-based approach.
Proactively communicate and manage expectations with multiple constituencies. Minimum Qualifications
J.D. and licensure in at least one state.
At least five (5) years prior experience in the following areas: labor and employment, litigation, and basic contract matters
Deeper experience in commercial transactions, domestic corporate governance, and corporate compliance programs a tremendous plus.
High learning agility, ability to navigate change, and manage a diverse portfolio of work.
Complex and creative problem-solving skills.
Experience investigating legal problems and/or issues and developing solutions for the same in partnership with business partners.
Excellent written and oral communication skills.
Expert ability to partner with business partners in the operations and business development spaces to drive creative solutions.
Responsible, assertive and self-directed, yet with a customer-service orientation; effective collaborator.
Excellent independent judgment and decision-making skills.
Excellent oral and written communication skills, and strong interpersonal skills.
Demonstrated aptitude for strategic thinking, an ability to anticipate problems, a track record of timely completion of projects and assignments, and a keen ability to summarize and explain legal complexities.
High attention to detail.
Experience partnering with legal professionals, with a demonstrated ability to join a new team and leverage change management skills.
Computer skills including Microsoft Office applications and use of database applications.
Business acumen.
Ability to travel occasionally. ?
