Come join us on our journey to create solutions for a sustainable future Commercial Counsel (1804153) Iselin, NJ Where the Chemistry HappensWe are seeking a professional like you to provide pragmatic, strategic and day-to-day legal advice and support to executives, business management and operational personnel of an integrated global precious metals refining, manufacturing and commodities trading business with an emphasis on precious and base metals, including counsel on a broad array of legal and risk management issues (e.g., antitrust law, contracts, and commodities markets regulatory matters) and counsel and guidance on the full range of commercial disputes and regulatory enforcement actions arising in the business. Duties & Responsibilities: Advise the relevant credit, risk management, and other control functions;Manage relations with outside legal advisers;Coordinate with regional legal teams regarding legal and regulatory issues that impact their respective region; Monitor changes to existing or new business practices and products to ensure that guidance, training and oversight are adjusted accordingly; Lead negotiations, help structure transactions and draft transactional documents, including, toll refining agreements, and salts and solutions sales agreements, working as required with in-house and outside subject matter experts; Identify issues requiring, and establish and manage, cross-functional teams (e.g., intellectual property, tax and litigation counsel, compliance, risk management, finance and EH&S) to ensure complete and efficient resolution of all matters/transactions; Provide compliance and legal training on relevant laws, regulations, BASF policies, procedures and legal issues to meet the clients? needs; and Support compliance related projects as and when required Qualifications:J.D. from and accredited U.S. law school;Admitted to practice in New Jersey or, if qualified in another U.S. jurisdiction, having the ability to practice law inhouse in New Jersey;5 to 8 years of experience working in a law firm or practicing as in-house counsel for a metal refining, chemical manufacturing or commodities trading company;Extensive experience analyzing, preparing and conducting negotiations for a broad array of commercial transactions;Proficiency in one or more of the following areas is required: manufacturing agreements, insolvency; and international transactions (familiarity with antitrust law and commodities markets regulations a plus);Strong negotiation and communication skills (written and oral) are required; A commitment to client service in a fast-paced business environment; Demonstrated well-developed real-world business judgment; Demonstrated ability to effectively influence and communicate and interact with all levels of personnel and management;Ability to effectively communicate with internal and external stakeholders;A team-oriented, collaborative work style; Initiative and the ability to work independently and make autonomous decisions; Strong interpersonal skills;A desire and ability to learn commodities trading related law and regulations;; andThe ability to manage a diverse workload and work under pressure with tight deadlines.
