This position will report to the Vice President and Chief Counsel, Business Transactions and Global Manufacturing and Supply (GMS). Job Responsibilities * Assist with strategic transactions, including acquisitions, divestitures, licenses, and supply & distribution transactions, including:
* Obtaining stakeholder input and regularly participating in the negotiation process;
* Overseeing and executing due diligence reviews; * Drafting and negotiating complex transactional documents; * Preparing closing documentation and assisting with transaction closings; and * Assisting with post-closing integration. * Act as strategic business partner to the Business Development (BD) team, including providing antitrust counseling and general legal advice and support as needed. * Work with the BD, Finance and Corporate Strategy teams to implement Zoetis” external growth strategy. * Work with the Zoetis digital and technology team to develop global Zoetis Digital strategy principles and procedures and provide digital counseling to commercial teams. * Handle and prioritize a high and diverse volume of contractual and other legal matters with limited supervision. * Assist in the development of policies, procedures and training as needed. * Develop expertise through on-the-job training, continuing legal education and subject matter reading. * Support miscellaneous corporate projects as needed.
QualificationsEducation: * J.D. from an accredited law school, with demonstrated academic achievement * Current bar membership in good standing
Experience: * 4+ years of legal experience required (meaningful time in private practice with a prominent law firm is preferred). * Must have significant M&A transaction experience, including demonstrated ability to review, analyze, negotiate and draft agreements, perform due diligence, and lead cross-functional initiatives. * Strong knowledge of antitrust laws preferred.
