Senior Counsel, IP – Florham Park, NJ (1901854) The Counsel, Intellectual Property role is integral in the continued development and protection of the global mobile emissions catalysts patent portfolio, working under the oversight of the Vice President and Deputy General Counsel, Intellectual Property NA. If selected for this position, you will be expected to provide, in a timely and effective manner, the highest-quality legal support for a broad range of business-oriented IP services for, and to build partnerships with, assigned R&D and business units within BASF. You must possess in-depth knowledge of IP transactional practice and of US patent and intellectual property law. You will have direct responsibility for providing the legal support described below to research and business personnel in the mobile emissions catalysts business unit of the Catalysts division, which focuses on emission control technologies for a wide range of market applications and products. Formula for Success: You Will? Directly handle the following non-transactional responsibilities, with the global IP team and/or through management of outside counsel: Together with the mobile emissions catalysts? R&D and business unit clients, develop and enable implementation of IP and innovation strategies. Advise on patentability, validity, and infringement. Serve as senior IP advisor to the mobile emissions catalysts? R&D and business unit colleagues. Manage and/or support patent agents in managing patent portfolios. Conducting freedom-to-operate assessments. Effectively communicate with colleagues at all levels of the Company, including about complicated technical and legal issues, to enable critical decisions on IP and IP litigation matters. Work closely with other members of IP, Legal and other functions, e.g., Tax, Insurance and HR, on regional and global levels. Provide IP litigation support by working in conjunction with BASF?s US litigation attorneys and the global IP team. Conduct and coordinate IP training, working in conjunction with BASF?s US commercial attorneys and the global IP team. Employ deft social skills to mediate between, and balance, occasional competing R&D and business unit resource demands.Directly handle the following transactional responsibilities: Collaborate with R&D and business unit colleagues to timely identify all agreements necessary to implement their respective objectives. Advise R&D and business unit colleagues on IP contract issues and interpretation. Review, negotiate, and draft a broad range of contracts such as: o Confidentiality agreements with universities, research organizations, commercial partners and private sector institutions to implement long-term strategic and commercial objectives for the subject IP; Material transfer agreements covering early-stage, proprietary chemistry and/or products; Service agreements; Consultant agreements;License agreements, including complex, cross-border in- and out-license agreements, cross-license agreements, development license agreements, and license and supply agreements;Technology transfer agreements; IP asset acquisition agreements; and IP asset divestiture agreements. Conduct IP due diligence for M&A transactions.Ingredientsfor Success: What We Look for in You ?
